Agreement to Our Legal Terms

AegisCovenant ("Company", "we", "us", or "our") is incorporated under the Companies Act, 2023, with offices at "4th floor, Venture X, Landmark CyberPark, Sector 67, Gurugram, Haryana-122001."

The company operates https://aegiscovenant.com/ (the "Site") and related services offering "Software as a Service (SaaS) web application portal to various automotive dealerships" in India, providing coverage policies including Roadside Assistance, Comprehensive Personal Accident, and Motor coverage per IRDAI Guidelines.

By accessing the Services, users agree they have "read, understood, and agreed to be bound by all of these Legal Terms." Users under 18 are prohibited from using the Services.

1. Our Services

Information provided is not intended for distribution in jurisdictions where such would violate laws or require registration. Users accessing from other locations are solely responsible for compliance with local laws.

2. Intellectual Property Rights

Our intellectual property

The company owns or licenses "all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics" and associated trademarks and logos.

Content and Marks are provided "AS IS" for personal, non-commercial use or internal business purposes only.

Your use of our Services

Users receive "a non-exclusive, non-transferable, revocable licence to: access the Services; and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose."

No part may be "copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission."

All rights not expressly granted are reserved. Intellectual property breaches constitute material violations, terminating user rights immediately.

Your submissions

By sending questions, comments, suggestions, or feedback ("Submissions"), users "agree to assign to us all intellectual property rights in such Submission."

Users confirm they have read the Prohibited Activities section and will not "post, send, publish, upload, or transmit through the Services any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading."

Users warrant submissions are original or properly licensed and represent no confidential information. Users are "solely responsible for your Submissions and you expressly agree to reimburse us for any and all losses that we may suffer" from breaches.

3. User Representations

Users represent and warrant that:

All registration information "will be true, accurate, current, and complete"
They will maintain accuracy and update information promptly
They have legal capacity to comply with these terms
They are not minors in their jurisdiction
They will not access through "automated or non-human means, whether through a bot, script or otherwise"
They will not use for illegal or unauthorized purposes
Their use will not "violate any applicable law or regulation"

Providing false information gives the company the right to suspend or terminate accounts.

4. User Registration

Registration may be required. Users must "keep your password confidential and will be responsible for all use of your account and password." The company reserves the right to remove usernames deemed inappropriate, obscene, or objectionable.

5. Purchases and Payment

Users agree to provide "current, complete, and accurate purchase and account information for all purchases made via the Services" and update account details promptly. Sales tax will be added as required. All payments are in Rupees.

Users authorize charging their payment provider for all charges and applicable fees. The company reserves the right to refuse orders, limit quantities, and correct pricing errors even after payment receipt.

6. Cancellation

"All purchases are non-refundable." Subscriptions can be cancelled anytime by contacting the company. Cancellation takes effect at the end of the current paid term.

7. Prohibited Activities

Users may not access the Services for purposes other than intended. Services cannot be used for commercial endeavors except those specifically endorsed by the company.

Users agree not to:

Systematically retrieve data to create databases without written permission
Trick or defraud users or the company, especially to learn passwords
Circumvent security features or prevent/restrict content usage or copying
Disparage or harm the company or Services
Use information to harass, abuse, or harm others
Misuse support services or submit false abuse reports
Use inconsistently with applicable laws or regulations
Engage in unauthorized framing or linking
Upload viruses, Trojan horses, or material causing interference, including excessive capitals and spamming
Engage in automated systems like scripts, data mining, robots, or similar tools
Delete copyright or proprietary notices
Attempt impersonation or use others' usernames
Upload information collection mechanisms like GIFs, pixels, web bugs, cookies, or spyware
Interfere with or disrupt the Services or connected networks
Harass, annoy, intimidate, or threaten company employees or agents
Bypass access prevention measures
Copy or adapt Services' software including Flash, PHP, HTML, or JavaScript
Decipher, decompile, disassemble, or reverse engineer software
Use automated systems, spiders, robots, scrapers, or offline readers
Use buying or purchasing agents
Make unauthorized uses including collecting usernames/emails for unsolicited email
Compete with the company using the Services
Portal Sharing and Cross-Selling
User Self-Onboarding
Wallet Balance Misuse and Transfer
Misuse of Data and Reports
Misuse of REST APIs
Misuse of Insurer APIs

8. User Generated Contributions

The Services "may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials," including text, video, audio, photographs, graphics, and personal information ("Contributions").

Contributions may be viewable by other users and third-party websites. When creating Contributions, users warrant that:

Creation and distribution "do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party"
They are the creator or have necessary licenses and permissions
They have written consent from identifiable individuals whose names or likenesses appear
Contributions are "not false, inaccurate, or misleading"
They are not unsolicited advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or solicitations
They are "not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable"
They do not ridicule, mock, disparage, intimidate, or abuse anyone
They are not used to harass, threaten, or promote violence against persons or groups
They do not violate applicable laws, regulations, or rules
They do not violate privacy or publicity rights
They do not concern child pornography or minors' well-being
They do not include offensive comments connected to "race, national origin, gender, sexual preference, or physical handicap"
They do not violate these Legal Terms or applicable laws

Violations may result in "termination or suspension of your rights to use the Services."

9. Contribution Licence

The Services and users agree that "we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices."

By submitting suggestions or feedback, users agree "we can use and share such feedback for any purpose without compensation to you."

The company does not assert ownership over Contributions. Users retain "full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions."

The company is "not liable for any statements or representations in your Contributions" and users are "solely responsible for your Contributions to the Services and you expressly agree to exonerate us from any and all responsibility."

10. Advertisers

The company allows advertisers to display advertisements in certain areas. The company "simply provide[s] the space to place such advertisements, and we have no other relationship with advertisers."

11. Services Management

The company reserves the right to:

Monitor the Services for Legal Terms violations
Take legal action against violators, including law enforcement reports
Refuse, restrict, limit availability, or disable Contributions
Remove oversized or burdensome files and content
Manage the Services to protect rights and facilitate proper functioning

12. Privacy Policy

Users agree to the Privacy Policy at https://aegiscovenant.com/privacy-policy. The Services are hosted in India. Users accessing from other regions with different data protection laws "expressly consent to have your data transferred to and processed in India."

13. Term and Termination

These Legal Terms remain in effect during Service use.

"WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON."

The company may "DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION."

Users are prohibited from registering new accounts under their name, fake names, or third-party names if accounts are terminated. The company reserves the right to pursue civil, criminal, and injunctive remedies.

14. Modifications and Interruptions

The company reserves the right to "change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice."

The Services may experience "hardware, software, or other problems or need to perform maintenance," resulting in interruptions, delays, or errors. The company "reserve[s] the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice."

Users acknowledge "we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime." The company has no obligation to maintain the Services or supply updates.

15. Governing Law

"These Legal Terms shall be governed by and defined following the laws of India. AEGISCOVENANT and yourself irrevocably consent that the courts of India shall have exclusive jurisdiction to resolve any dispute."

16. Dispute Resolution

Binding Arbitration

Disputes arising from these Legal Terms "shall be referred to and finally resolved through arbitration." Three arbitrators will hear disputes. The seat is New Delhi, India. Proceedings are in English, governed by Indian substantive law.

Restrictions

Parties agree arbitration "shall be limited to the Dispute between the Parties individually." There is "no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures" and "no right or authority for any Dispute to be brought in a purported representative capacity."

Exceptions to Arbitration

Disputes not subject to arbitration include:

(a) Disputes seeking to enforce or protect intellectual property rights
(b) Disputes related to theft, piracy, invasion of privacy, or unauthorized use
(c) Claims for injunctive relief

If any provision is illegal or unenforceable, disputes "shall be decided by a court of competent jurisdiction" within the applicable jurisdiction.

17. Corrections

The Services may contain "typographical errors, inaccuracies, or omissions." The company reserves the right to "correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice."

18. Disclaimer

"THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK."

"TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES" including "implied warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT."

The company makes "NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT" and assumes no liability for:

"ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS"
"PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES"
"ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN"
"ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES"
"ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY"
"ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT"

The company "DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY" and will not monitor third-party transactions.

19. Limitations of Liability

"IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES."

Liability is "LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US."

20. Indemnification

Users agree to "defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:"

Service use
These Legal Terms breach
Breach of user representations and warranties
User violation of third-party rights including intellectual property
Any harmful acts toward other users

The company reserves the right to assume exclusive defense and control at user expense. Users agree to cooperate at their expense. The company will notify users of claims subject to indemnification.

21. User Data

The company maintains data for "managing the performance of the Services" and tracking use. Though regular backups occur, users are "solely responsible for all data that you transmit."

Users acknowledge "we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption."

22. Electronic Communications, Transactions, and Signatures

Service visits, emails, and online forms constitute "electronic communications." Users consent to receiving electronic communications and agree "all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing."

"YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES."

Users waive "any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records."

23. Miscellaneous

"These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us."

Non-exercise of rights doesn't waive them. The terms operate to the fullest permissible extent. The company may assign rights and obligations. The company is not responsible for "any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control."

Unlawful or unenforceable provisions are severable. No joint venture, partnership, employment, or agency relationship exists. Users waive defenses based on electronic form and lack of signatures.
